1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Upstate Nooks LLC, doing business as MTR Analytics ("we," "us," "our," or the "Company"). By creating an account, accessing, or using our website, platform, and related services (collectively, the "Service"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein.

If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.


2. Description of Service

MTR Analytics is a software-as-a-service ("SaaS") platform designed for mid-term rental (30+ day stays) market analysis, property listing optimization, and investment research. The Service provides the following features:

  • Market Analyzer: Market analysis with rental comparables, pricing insights, demographic data, economic indicators for geographic areas, and the ability to save named lists of comparable properties
  • Opportunity Finder: AI-powered market opportunity scoring with demand driver identification and growth analysis
  • Listing Optimizer: AI-powered analysis of property listings including title, description, photo quality, amenities, and pricing optimization recommendations
  • Deal Analyzer: Investment analysis tools including financial calculations (mortgage estimates, net operating income, capitalization rate, cash-on-cash return), market insights, and regulation information
  • Deal Finder: Property search and discovery tools for identifying potential investment properties
  • Regulation Analyzer: AI-generated summaries of local short-term and mid-term rental regulations
  • Map Explorer: Interactive geographic visualization of market data
  • Dashboard: Portfolio overview, recent activity, hot markets, and emerging market highlights

The Service uses artificial intelligence, third-party data providers, and publicly available data to generate its analyses. The specific data sources, AI providers, and their roles are described in our Privacy Policy and in Section 7 of these Terms.


3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing a valid email address, a password, and your name. You may also register using Google OAuth. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Choose a strong, unique password and keep it confidential
  • Not share your account credentials with any third party
  • Notify us immediately at jimmy@mtranalytics.com if you suspect any unauthorized access to your account
  • Not create multiple accounts for the same individual

We are not liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

3.3 Account Accuracy

You agree not to impersonate any person or entity, or falsely state or misrepresent your identity or affiliation. We reserve the right to suspend or terminate accounts that contain false or misleading information.


4. Permitted Use and Restrictions

4.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes related to mid-term rental market research, property listing management, and investment analysis.

4.2 Prohibited Conduct

You agree not to, and will not permit any third party to:

  • Copy, redistribute, resell, sublicense, or commercially exploit any data, analyses, reports, or other content generated by the Service, except for your own internal business use or as expressly permitted by these Terms
  • Use automated tools, bots, scrapers, or similar means to access, extract, or collect data from the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying technology of the Service
  • Circumvent, disable, or interfere with any security, authentication, or access-control features of the Service
  • Use the Service to engage in any activity that is illegal, fraudulent, or harmful, or that violates the rights of any third party
  • Upload content that is defamatory, obscene, infringing, or otherwise unlawful
  • Introduce viruses, malware, or any other harmful code into the Service
  • Impersonate another user or gain unauthorized access to another user's account or data
  • Use the Service in any manner that could overload, damage, disable, or impair our servers or infrastructure
  • Present AI-generated analyses, scores, or recommendations from the Service as your own professional advice, appraisals, or valuations to third parties without appropriate disclosure that such content was generated by an automated tool

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating the offending user's account and reporting such activity to law enforcement authorities.


5. User Content

5.1 Your Content

"User Content" means any data, text, images, photographs, property information, or other materials that you upload, submit, or create through the Service, including but not limited to property listings, listing photographs, property descriptions, amenity selections, pricing information, saved comparable property lists, and search queries.

You retain all ownership rights in your User Content. We do not claim ownership over any User Content you provide.

5.2 License Grant

By submitting User Content to the Service, you grant MTR Analytics a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, display, reproduce, and transmit your User Content solely for the purposes of:

  • Operating and providing the Service to you
  • Processing your content through our AI analysis features (as described in our Privacy Policy)
  • Displaying your content back to you within the Service
  • Making your content accessible via features you choose to use, such as shareable deal analysis links
  • Creating backups and maintaining data integrity

This license terminates when you delete your User Content or your account, except to the extent that copies may temporarily remain in our backup systems or in cached analyses that do not identify you personally.

5.3 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights and permissions to submit your User Content
  • Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
  • Your User Content is accurate to the best of your knowledge
  • Any property images you upload are images you own or have the right to use

6. Shared Content and Public Links

Certain features of the Service allow you to generate shareable links to your deal analyses. When you create a shareable link, the associated analysis content becomes accessible to anyone who has the link, without requiring authentication.

You are solely responsible for determining what content you share and with whom. Once a shareable link is distributed, we cannot control who accesses the linked content. You should not share links that contain information you consider confidential or sensitive.

You may deactivate a shareable link at any time, after which the content will no longer be publicly accessible.

The Service also allows you to export deal analyses as PDF documents. Exported PDFs may contain sensitive financial data, property details, and market information. You are solely responsible for the secure handling, storage, and distribution of any exported documents.


7. Artificial Intelligence and Automated Analysis

Important: MTR Analytics uses artificial intelligence to generate analyses, scores, recommendations, and other outputs. AI-generated content is provided for informational purposes only and is subject to the disclaimers in Sections 8, 9, and 10 of these Terms. You must not rely on AI-generated content as a substitute for professional advice.

7.1 AI Provider

The Service uses AI models provided by Anthropic, PBC through their commercial API. Your data is processed in accordance with our Privacy Policy, which details what information is sent to Anthropic and how it is handled.

7.2 Nature of AI Outputs

AI-generated analyses, scores, grades, recommendations, and other outputs ("AI Outputs") are produced by automated systems using machine learning models. You acknowledge and agree that:

  • AI Outputs may contain errors, inaccuracies, omissions, or outdated information
  • AI Outputs are generated based on the data available at the time of analysis and may not reflect current market conditions
  • AI Outputs do not constitute professional advice of any kind (see Sections 8, 9, and 10)
  • The quality and accuracy of AI Outputs depend in part on the quality and accuracy of the data you provide and the data available from third-party sources
  • We do not guarantee the accuracy, reliability, completeness, or timeliness of any AI Output
  • AI models may produce different results for the same inputs at different times

7.3 Cached Results

Market analyses, opportunity assessments, and regulation summaries are cached for up to 30 days and may be shared across users searching the same geographic area. Cached results may not reflect the most current data. You may request a fresh analysis when cached results are available.


8. Investment and Financial Disclaimer

MTR Analytics is not a registered investment adviser, broker-dealer, financial planner, or financial institution. Nothing in the Service constitutes investment advice, financial advice, tax advice, or a recommendation to buy, sell, hold, or otherwise transact in any property or security.

The Deal Analyzer, Market Analyzer, Opportunity Finder, and related features provide estimates, projections, and analyses that are intended for informational and educational purposes only. Specifically:

  • Financial calculations (including but not limited to mortgage estimates, net operating income, capitalization rates, cash-on-cash returns, and projected rental income) are based on simplified models, user-provided inputs, and third-party data that may be incomplete, inaccurate, or outdated. Actual financial outcomes will differ.
  • Investment verdicts, scores, and recommendations are AI-generated opinions based on available data. They do not account for your personal financial situation, risk tolerance, investment objectives, tax circumstances, or other factors that a qualified professional would consider.
  • Market data and comparable rental information is sourced from third parties and may not reflect actual market conditions, current rental rates, or property values.
  • Property valuations and rent estimates are automated estimates and should not be relied upon as appraisals or definitive indicators of property value or rental income potential.

You should always consult with a qualified financial adviser, real estate professional, tax adviser, or attorney before making any investment or financial decision. You assume all risk associated with any investment decisions you make, whether or not informed by the Service. MTR Analytics shall not be liable for any investment losses, financial damages, or adverse outcomes resulting from your use of or reliance on the Service.


9. Regulatory Information Disclaimer

The Regulation Analyzer and any regulatory information provided through the Service do not constitute legal advice. MTR Analytics is not a law firm and does not provide legal services.

Regulation summaries are AI-generated based on publicly available information and may be incomplete, inaccurate, or outdated. Rental regulations vary by jurisdiction and change frequently. Local, state, and federal laws may impose requirements, restrictions, or obligations that are not reflected in the Service.

You are solely responsible for understanding and complying with all applicable laws, regulations, ordinances, zoning rules, homeowner association rules, and other legal requirements applicable to your property and rental activities. You should consult with a qualified attorney in your jurisdiction before relying on any regulatory information provided by the Service.


10. Market Data and Accuracy

The Service incorporates data from third-party providers, public government sources, and AI-generated analyses. We strive to present accurate and useful information, but we do not independently verify all data from third-party sources.

10.1 Third-Party Data Sources

The Service uses data from the following categories of third-party providers:

  • Rental market data providers: Comparable rental listings, average daily rates, occupancy estimates, and revenue projections
  • Property data providers: Property sale listings, automated valuation models, rent estimates, property records (including tax assessments, square footage, and year built)
  • Third-party real estate listings: When you provide a URL from a third-party real estate listing site, we may extract publicly available property information (such as address, price, and property details) from that page to populate analysis inputs
  • Geocoding and mapping services: Address resolution, nearby points of interest, and geographic coordinates
  • Government data sources: U.S. Census Bureau demographic data and Bureau of Labor Statistics employment data

10.2 No Warranty of Accuracy

You acknowledge and agree that:

  • Third-party data may be incomplete, inaccurate, delayed, or outdated at the time you access it
  • Market conditions, rental rates, property values, demographic indicators, and regulations change continuously and the Service may not reflect the most current information
  • Comparable rental data represents historical or aggregated information and does not guarantee future performance or actual rental rates
  • Geographic data coverage varies by location, and some areas may have limited or no data available
  • We are not responsible for errors, omissions, or inaccuracies in data provided by third-party sources

11. Third-Party Services

The Service integrates with and relies upon third-party services to function. These third-party services are governed by their own terms of service and privacy policies, which are separate from these Terms. By using the Service, you acknowledge that:

  • The availability, accuracy, and performance of the Service depend in part on third-party services that are outside of our control
  • Third-party services may experience downtime, errors, or changes that affect the Service
  • We are not responsible for the acts, omissions, or policies of third-party service providers
  • If you authenticate using Google OAuth, your use of Google's services is governed by Google's Terms of Service and Privacy Policy

Links to third-party websites or services that may appear within the Service are provided for convenience only and do not constitute an endorsement by MTR Analytics.


12. Intellectual Property

12.1 Our Intellectual Property

The Service, including its software, code, design, layout, user interface, algorithms, AI prompt configurations, documentation, branding, logos, and all other proprietary materials (collectively, "Platform IP"), is owned by MTR Analytics and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in our Platform IP except for the limited license to use the Service as described in Section 4.1.

12.2 Your Intellectual Property

As stated in Section 5, you retain all ownership rights in your User Content. We do not claim any intellectual property rights over the content you submit to the Service.

12.3 AI-Generated Output

AI-generated analyses, scores, recommendations, and other outputs produced by the Service are provided to you for your use subject to these Terms. You may use AI Outputs for your personal and internal business purposes. You may not resell, redistribute, or commercially exploit AI Outputs as a standalone product or service.

12.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without any obligation to you.


13. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted, error-free, or continuous access. You acknowledge and agree that:

  • The Service may be temporarily unavailable due to scheduled maintenance, updates, or upgrades
  • The Service may experience unplanned outages due to technical issues, infrastructure failures, or circumstances beyond our control
  • Certain features (such as AI-powered analyses) require background processing that may take time to complete, and results are not always available immediately
  • We reserve the right to modify, suspend, or discontinue any feature or portion of the Service at any time, with or without notice

We will make reasonable efforts to provide advance notice of planned downtime or material changes to the Service, but we are not obligated to do so.


14. Fees and Payment

Access to the Service is currently provided at no cost. We reserve the right to introduce paid subscription plans, usage-based fees, or premium features in the future.

If we introduce fees for any portion of the Service that you are currently using at no cost, we will provide you with at least 30 days' advance notice via email before such fees take effect. You will have the opportunity to accept the new pricing or discontinue your use of the affected features before being charged.

If paid plans are introduced, the specific pricing, billing terms, refund policies, and cancellation procedures will be communicated at that time and will become part of these Terms.


15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, MTR Analytics expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, completeness, or timeliness of any content, data, analyses, or AI-generated outputs provided through the Service
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties that results obtained from the Service will be accurate or reliable
  • Warranties that defects in the Service will be corrected

No advice or information, whether oral or written, obtained from MTR Analytics or through the Service shall create any warranty not expressly stated in these Terms.


16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MTR ANALYTICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Investment losses or adverse financial outcomes resulting from reliance on the Service
  • Damages arising from inaccurate, incomplete, or outdated data, analyses, or AI-generated outputs
  • Damages arising from unauthorized access to or alteration of your data
  • Damages arising from the conduct of any third party using the Service
  • Legal penalties, fines, or enforcement actions resulting from your reliance on the Regulation Analyzer or any regulatory information provided by the Service

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MTR ANALYTICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MTR ANALYTICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


17. Indemnification

You agree to indemnify, defend, and hold harmless MTR Analytics, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or inability to use the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Your User Content, including any claims that your User Content infringes a third party's intellectual property or other rights
  • Any investment, financial, or business decisions you make based on information obtained through the Service
  • Your sharing of deal analyses or other content via public links

18. Termination

18.1 Termination by You

You may close your account at any time by contacting us at jimmy@mtranalytics.com. Upon account closure, we will delete your account data, property listings, images, search history, and analysis results in accordance with our Privacy Policy.

18.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to situations where:

  • You violate these Terms or any applicable law
  • You engage in conduct that is harmful to other users, third parties, or the integrity of the Service
  • Your account has been inactive for an extended period
  • We discontinue the Service or a material portion of it

18.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. The following sections survive termination: Sections 5.2 (License Grant, with respect to cached non-personal data), 7 (AI and Automated Analysis), 8 (Investment Disclaimer), 9 (Regulatory Disclaimer), 12 (Intellectual Property), 15 (Disclaimer of Warranties), 16 (Limitation of Liability), 17 (Indemnification), 20 (Governing Law), and 22 (Entire Agreement).


19. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify registered users via email at least 14 days before the changes take effect
  • Provide a summary of material changes in the notification

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and close your account.


20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

20.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at jimmy@mtranalytics.com and attempt to resolve the dispute informally for at least 30 days.

20.3 Binding Arbitration

If the dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware or, at your election, by videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against MTR Analytics.

20.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.


21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.


22. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and MTR Analytics regarding the Service. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and MTR Analytics regarding the Service.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
